These Terms & Conditions govern participation in MODE Market, whether as an attendee, vendor, sponsor, speaker, exhibitor, contractor, volunteer, or guest.

By registering for, attending, exhibiting at, sponsoring, speaking at, or otherwise participating in MODE Market, all participants agree to comply with these Terms & Conditions.

SECTION 1 – GENERAL EVENT POLICIES

1.1 Event Management

MODE Market, LLC reserves the right to interpret, amend, and enforce these Terms & Conditions and any additional policies, rules, or procedures necessary for the successful operation of the event.

Any matters not specifically covered herein shall be subject to the decision of MODE Market, LLC.

1.2 Code of Conduct

MODE Market is committed to providing a welcoming, professional, and respectful environment for all participants.

Harassment, discrimination, intimidation, offensive conduct, disruptive behavior, or unlawful activity will not be tolerated.

MODE Market reserves the right to remove any participant from the event without refund for violations of this policy.

1.3 Photography, Video & Media Release

Participants acknowledge that photographs, video recordings, livestreams, and other media may be captured during the event.

By attending MODE Market, participants grant MODE Market, LLC permission to use their likeness, image, voice, and participation in promotional materials, websites, social media, advertising, and future event marketing without compensation.

1.4 Health & Safety

Participants agree to comply with all venue rules, emergency procedures, health requirements, and safety protocols established by MODE Market, the venue, or local authorities.

Attendance and participation are voluntary and at the participant's own risk.

1.5 Limitation of Liability

MODE Market, LLC, its officers, directors, board members, employees, volunteers, contractors, sponsors, agents, and representatives shall not be liable for any injury, loss, theft, damage, delay, travel interruption, or other claims arising from participation in the event.

All participants assume responsibility for their own property, travel arrangements, and personal safety.

1.6 Non-Endorsement

The views, opinions, products, services, and presentations shared by exhibitors, sponsors, speakers, and attendees do not necessarily reflect the views of MODE Market, LLC.

Participation in MODE Market does not imply endorsement by MODE Market.

1.7 Governing Law

These Terms & Conditions shall be governed by the laws of the State of Texas.

Venue for any legal proceeding shall lie exclusively in Denton County, Texas.

SECTION 2 – ATTENDEE TERMS

2.1 Eligibility

MODE Market is intended for qualified dance retailers, studio owners, educators, industry professionals, approved guests, and other participants authorized by MODE Market.

MODE Market reserves the right to deny or revoke registration at its sole discretion.

2.2 Registration & Badges

Attendee badges are non-transferable and may only be used by the registered individual.

Badges must be worn while attending official MODE Market functions.

MODE Market reserves the right to request identification at any time.

2.3 Educational Sessions

Educational sessions, workshops, seminars, and presentations are provided for informational purposes only.

Recording, photographing, livestreaming, or distributing educational content without permission is prohibited.

2.4 Exhibit Hall Conduct

Attendees may not:

• Sell products or services
• Distribute promotional materials
• Solicit exhibitors on behalf of competing businesses or events
• Conduct unauthorized commercial activities

MODE Market reserves the right to remove any participant engaged in unauthorized solicitation or "suitcasing."

2.5 Giveaways, Drawings & Promotions

Participation in contests, giveaways, drawings, promotions, and the Walk-the-Floor Challenge is voluntary and subject to applicable rules.

MODE Market reserves the right to modify, cancel, or substitute prizes at any time.

2.6 Event Changes

Schedules, speakers, floor plans, educational content, and event activities may change without notice.

Such changes shall not entitle attendees to refunds.

2.7 Cancellation Policy

Attendee registrations are non-refundable unless otherwise stated in writing by MODE Market.

If MODE Market cancels the event in its entirety, refunds or credits may be issued at the sole discretion of MODE Market.

SECTION 3 – VENDOR / EXHIBITOR TERMS

3.1 Booth Assignment

Efforts will be made to accommodate exhibitor preferences; however, booth assignments are made at the sole discretion of MODE Market.

MODE Market reserves the right to modify booth locations when necessary.

3.2 Exhibit Eligibility

MODE Market reserves the right to decline or remove any exhibit, product, service, display, or representative that does not align with the character or objectives of the event.

3.3 Subletting

Exhibitors may not assign, share, sublicense, or sublet booth space without prior written approval from MODE Market.

3.4 Booth Specifications

Standard booth dimensions and included furnishings will be communicated through official exhibitor materials.

3.5 Height Restrictions

No exhibit structure, signage, display, shelving, or apparatus may exceed 10 feet in height unless approved in writing.

3.6 Installation & Dismantling

Exhibitors must complete installation during designated move-in hours and dismantle only during designated move-out hours.

Early teardown is prohibited.

Exhibitors who dismantle or vacate their booth prior to official closing may lose priority booth selection privileges for future MODE Markets.

3.7 Costs

Exhibitors are responsible for all expenses associated with participation, including travel, lodging, shipping, insurance, utilities, labor, and display materials.

3.8 Exhibitor Credentials

Exhibitors must register all booth personnel in advance.

Exhibitor badges are non-transferable and must be worn during event hours.

3.9 Solicitation

Sales presentations, demonstrations, literature distribution, meetings, and promotional activities may only occur within an exhibitor's assigned booth space.

3.10 Merchandise Sales

Exhibitors may sell products where permitted by venue rules and applicable law.

Exhibitors assume full responsibility for all sales transactions, taxes, warranties, product liability claims, and regulatory compliance.

3.11 Noise Restrictions

Audio equipment, music, demonstrations, and presentations must remain at reasonable levels and may not interfere with neighboring exhibitors.

3.12 Insurance

Exhibitors must maintain adequate insurance coverage during move-in, event days, and move-out, including:

• Commercial General Liability
• Workers' Compensation (where applicable)
• Employer's Liability

Proof of insurance may be requested by MODE Market.

3.13 Intellectual Property

Exhibitors are solely responsible for obtaining all licenses and permissions necessary for copyrighted material, trademarks, music, videos, presentations, and promotional content used during the event.

3.14 Hotel Block Participation

To support event operations and venue agreements, exhibitors are strongly encouraged to utilize the official MODE Market hotel block.

Specific participation requirements, if any, will be communicated in exhibitor materials.

3.15 Indemnification

Exhibitors agree to defend, indemnify, and hold harmless MODE Market, LLC and its representatives from claims arising from their participation, products, services, personnel, or activities.

SECTION 4 – EVENT CANCELLATION & FORCE MAJEURE

MODE Market may cancel, postpone, relocate, modify, or convert the event to a virtual or hybrid format due to circumstances beyond its reasonable control, including but not limited to:

• Natural disasters
• Government action
• Public health emergencies
• Labor disputes
• Terrorism
• Civil unrest
• Venue unavailability
• Force majeure events

Participants will be notified as soon as reasonably possible.

Refunds, credits, substitutions, or alternative participation opportunities shall be determined by MODE Market in its sole discretion.

SECTION 5 – INFORMATION SHARING

Participants authorize MODE Market to share registration information with official service providers, sponsors, exhibitors, and event partners for purposes related to event operations, attendee services, networking opportunities, and event communications.

SECTION 6 – ENTIRE AGREEMENT

These Terms & Conditions constitute the entire agreement between MODE Market and participants.

MODE Market reserves the right to amend these Terms & Conditions by providing notice through official event communications.

Participation in MODE Market following such notice constitutes acceptance of any updates.
